Welcome to Psyainz LLC. By accessing or using our website, mobile applications, and services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

We reserve the right to modify these Terms at any time. Your continued use of the Services following any changes constitutes acceptance of those changes.

2. Description of Services

Psyainz LLC operates an online education platform focused on vocal training and communication skills. Our Services include:

• Structured online courses for vocal training
• One-on-one instructional sessions
• Digital learning materials related to singing and voice development
• Software-based solutions delivered through web and mobile applications
• Subscription-based learning platforms
• Digital tools for voice practice
• AI-powered features including voice analysis and intelligent input tools

3. Account Registration

To access certain features of our Services, you must create an account. You may register using Google Sign-In or Apple Sign-In. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

4. Subscriptions and Payments

4.1 Subscription Plans

We offer various subscription plans with different features and pricing. Subscription details, including pricing and features, are displayed on our website and within our applications.

4.2 Free Trial

We may offer a free trial period for new subscribers. You may cancel at any time during the trial period without charge. If you do not cancel before the trial ends, you will be automatically enrolled in a paid subscription.

4.3 Billing

Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your selected plan). Payment is processed through Stripe. You authorize us to charge your payment method for all fees incurred.

4.4 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to the Services until the end of your current billing period.

5. Digital Courses and Content

In addition to subscriptions, we offer digital courses and one-on-one sessions for purchase. By purchasing digital content, you receive a limited, non-exclusive, non-transferable license to access and use the content for personal, non-commercial purposes.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any content without our prior written consent.

6. Fulfillment and Delivery

All products and services offered by Psyainz LLC are delivered digitally:

• Subscription Services: Upon successful payment, access to subscription features is granted immediately via your account dashboard.
• Digital Courses: Course access is granted immediately upon purchase. You will receive a confirmation email with login instructions.
• One-on-One Sessions: After booking, you will receive a confirmation email with session details and video call link within 24 hours.
• Mobile App Features: Premium features are unlocked instantly upon subscription activation.

If you experience any issues accessing your purchased content, please contact support@psyainz.com within 48 hours of purchase.

7. User Content

Our Services allow you to submit content, including voice recordings for practice and assessment ("User Content"). You retain ownership of your User Content, but grant us a worldwide, non-exclusive, royalty-free license to use, store, and process your User Content solely for the purpose of providing and improving our Services.

You are solely responsible for your User Content and represent that you have all necessary rights to submit such content.

8. Prohibited Conduct

You agree not to:

• Use the Services for any unlawful purpose
• Share your account credentials with others
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Services
• Copy, distribute, or sell any content from our Services
• Use automated systems to access the Services
• Harass, abuse, or harm other users or instructors

9. Intellectual Property

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, audio, video, software, and course materials, are owned by Psyainz LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT GUARANTEE ANY SPECIFIC RESULTS FROM USING OUR VOCAL TRAINING SERVICES.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PSYAINZ LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Psyainz LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of your use of the Services or violation of these Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

14. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Wyoming, United States.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
